Terms of Service

1. Introduction

These Terms of Service govern your use of Zvelto Limited's website, onboarding form and services (together, the "Services"). By accessing or using the Services, or by submitting the onboarding form, you agree to these terms. If you do not agree, do not use the Services.

"We", "us" and "our" mean Zvelto Limited, a company registered in England and Wales (company number 17046810), whose registered office is at 66 Paul Street, London, EC2A 4NA, United Kingdom.

2. Services

Zvelto builds and operates website and related digital services for restaurants and other hospitality venues. The exact scope of services for each client is agreed separately, usually before or after completion of the onboarding form.

3. Accounts and eligibility

You must have authority to act on behalf of the venue you represent. You agree to provide accurate and complete information when completing the onboarding form or creating an account, and to keep that information up to date.

4. Content you provide

Content licence

You grant Zvelto Limited a non-exclusive, worldwide, royalty-free licence to host, use, reproduce, adapt, crop, format and display the content you provide to us (including logos, menus, images, text and testimonials) for the purpose of building, operating, maintaining and promoting the services we provide to you.

We may also feature your venue, including your name, logo and a link to your site, as an example of our work in Zvelto's own marketing materials, portfolio and case studies. You can ask us to stop at any time by emailing privacy@zvelto.ai, and we will remove you from future materials.

This licence lasts for as long as we provide services to you, plus a reasonable wind-down period, and does not transfer ownership: your content remains yours.

Warranty

You confirm that you own, or have the necessary rights and permissions to provide, all content you upload, and that our use of it as described will not infringe anyone's rights.

Testimonials and third-party personal data

Where content you provide includes personal data about someone else, such as a customer named in a testimonial, you confirm you have that person's permission for us to publish it. If they ask us to remove it, we may do so without liability to you.

5. Intellectual property

Zvelto retains all intellectual property rights in the Services, including any templates, code, designs and software we create or license to deliver the Services, except for your content and any bespoke work expressly agreed to be assigned to you in writing.

6. Termination

Either party may terminate the Services in accordance with the agreement between us. On termination, we will stop providing the Services and the content licence in section 4 will wind down within a reasonable period.

7. Limitation of liability

Nothing in these terms limits or excludes our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.

Subject to the above, our total liability to you for any claim arising out of or relating to the Services is limited to £100.

We are not liable for any loss of profits, revenue, data or business opportunity, or for any indirect or consequential loss, even if we were advised of the possibility.

8. Governing law

These terms are governed by the laws of England and Wales. Any dispute arising from them will be subject to the exclusive jurisdiction of the courts of England and Wales. If you are based in the EEA, this does not affect any mandatory consumer rights you have under the law of your country.

9. Changes to these terms

We may update these terms from time to time. We will post the updated terms on this page and, where the changes are significant, tell you directly. Your continued use of the Services after the changes take effect means you accept the updated terms.
